Terms of Service

1. Acceptance of Terms

By accessing or using WORKSPHR (“Service”), provided by CRUD.IT Solutions Inc.(“we,” “us,” “our”), you (“Customer,” “you,” “your”) agree to be bound by these Terms of Service. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

WORKSPHR is a cloud-based Human Resource Information System (HRIS) and Payroll Software-as-a-Service designed for Philippine businesses. The Service includes:

  • Employee data management
  • Payroll processing with BIR TRAIN, SSS, PhilHealth, Pag-IBIG support
  • Time and attendance tracking
  • Leave management
  • Recruitment and onboarding
  • Performance management
  • Compliance reporting
  • Employee self-service

3. Subscriptions and Plans

3.1 Plans

The Service is offered under multiple subscription plans (Starter, Growth, Scale, Enterprise) with features and pricing as published at worksphr.com/pricing. Pricing is subject to change with 60 days advance notice for existing subscribers.

3.2 Trial

We may offer a 14-day free trial. Trials may be limited in features and require valid identifying information. We reserve the right to revoke trial access for fraud or terms violations.

3.3 Term

Subscriptions are monthly or annual. Annual plans receive 15% discount. Subscriptions auto-renew unless cancelled at least 7 days before renewal date.

4. Billing and Payment

4.1 Fees

Fees are denominated in Philippine Pesos (PHP) and are exclusive of VAT (12%) and other applicable taxes.

4.2 Payment Methods

We accept credit card, debit card, GCash, Maya, Dragonpay, and bank transfer. Failed payments may suspend the Service after 7 days notice.

4.3 Refunds

All fees are non-refundable except (i) within first 30 days for new customers (“money-back guarantee”), or (ii) where required by Philippine law.

5. Acceptable Use

You agree NOT to:

  • Use the Service for unlawful purposes
  • Reverse engineer or attempt to extract source code
  • Bypass security or rate limits
  • Upload malware, viruses, or harmful code
  • Resell or sublicense without written authorization
  • Use the Service to violate Philippine labor law, tax law, or data privacy law
  • Send unsolicited marketing through the Service
  • Attempt to access another customer’s data

6. Your Data

You retain all rights to data you upload to WORKSPHR. We process your data solely to deliver the Service per these Terms and our Privacy Policy.

You are responsible for the accuracy and legality of data you upload. You must obtain proper consent from your employees per RA 10173 before uploading their personal data.

7. Service Availability

We commit to 99.5% uptime on Starter and Growth plans, and 99.9% uptime on Scale and Enterprise plans, measured monthly. Scheduled maintenance does not count against uptime.

Service Level Agreement (SLA) credits available on Enterprise plan only.

8. Intellectual Property

WORKSPHR and all related intellectual property are owned by CRUD.IT Solutions Inc. We grant you a non-exclusive, non-transferable license to use the Service per these Terms during your subscription period.

9. Limitation of Liability

To the maximum extent permitted by Philippine law, our aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages including lost profits, lost revenue, or business interruption.

10. Termination

10.1 By You

You may cancel anytime through your account settings. Service continues through end of paid period.

10.2 By Us

We may suspend or terminate for: non-payment, terms violation, or extended inactivity (24 months).

10.3 Data Export

For 60 days post-termination, you may export your data via standard export tools. After 60 days, data is permanently deleted unless legal retention applies.

11. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines. Disputes shall be resolved in the courts of Pampanga, Philippines with exclusive jurisdiction.

Before filing suit, parties agree to attempt good-faith negotiation. If unresolved within 30 days, parties may proceed to mediation through the Philippine Mediation Center.

12. Changes to Terms

We may modify these Terms with 30 days notice for material changes. Continued use after changes take effect constitutes acceptance.
